摘要:

针对石化行业科研项目合同管理普遍存在审查周期长、权责界定模糊、风险条款覆盖不全等问题。提出“全周期风控嵌入+数字化动态履约一体化优化路径。通过系统梳理企业内部自主研发、委托开发、合作研发和技术咨询4类项目的合同特征,构建了差异化的风控要点与不可让步的红线条款体系。工程实践表明,依托流程精益化管理与数字化管控手段,可实现合同审查周期缩短40%以上,技术外溢风险降低35%,履约纠纷率减少50%。该模式为石化行业科研项目的高端化、智能化、绿色化转型提供了可复制的合同管理范本。

Abstract: Aiming at the widespread problems in contract management of scientific research projects in the petrochemical industry, such as long review cycle, vague definition of rights and responsibilities, and incomplete coverage of risk clauses, this paper proposes an integrated optimization path of "full-cycle risk control embedding + digital dynamic performance". By systematically sorting out the contract characteristics of four types of projects, including in-house independent R&D project, commissioned development project, cooperative R&D project and technical consultation project of enterprises, a system that combines differentiated risk control key points with non-negotiable red line clauses is constructed. Engineering practice shows that relying on lean process management and digital control means, the contract review cycle can be shortened by more than 40%, the technology spillover risk can be reduced by 35%, and the performance dispute rate can be decreased by 50%. This model provides a replicable contract management template for the high-end, intelligent and green transformation of scientific research projects in the petrochemical industry.
